Supplier Quality Requirements (rev. 4 of 15/02/2021)
The requirements described in these instructions are intended as integral part of order itself.
They are supplementary and not substitutive.
Requirements
- AQAP. 2110 For NATO countries;
- PART 21 sub F-G Procedures for a/c and parts production ;
- FAR 21 sub. F-G USA Federal Aviation Agency Regulation - PART 21;
- AQAP. 2120 For NATO countries;
- PART 145 Approved Maintenance Organization ;
test/final inspection;
- AQAP. 2130/2131 For NATO countries ;
- EN 9100 series Quality Requirements for aerospace industries.
1. General Conditions
- Unless otherwise indicated by the special conditions of the Order in reference (Order),
the Supply referred to in it, is regulated by the General Conditions of Supply and ineffective
Insurance Requirements any other declaration or communication between the parties,
including the signing of the Order Confirmation from the Supplier to Jet Avionics S.r.l. .
- Within ten (10) days from the Order data, the Supplier must sign a Jet Avionics S.r.l.
the Order Confirmation attached to the same (this page). In the event that the Supplier
has not returned the aforementioned Order Confirmation duly signed by the
deadline indicated above, the Order will be considered confirmed.
2. Terms of delivery
- The delivery must be performed in compliance with the conditions indicated in the
Order. Any modification to these conditions must be authorized in writing by Jet Avionics S.r.l.
- In case of delayed delivery Jet Avionics S.r.l. may apply to the Supplier
a penalty equal to 2% of the value of the late Supply, for each week of delay following the two-week
deductible period, up to the achievement of 10% of the total value of the Order. In any case,
Jet Avionics S.r.l. will be able to partially or totally resolve or, alternatively, purchase
the late supply elsewhere. It is understood and agreed that Jet Avionics S.r.l. will
have the right to withhold the sums due to it as a penalty, compensating them with
payments due to the Supplier.
- No excess or inadequate quantities will be accepted for those indicated in the Order.
3. Property
- The ownership of the Supply will pass to Jet Avionics S.r.l.
on delivery. Said transfer of ownership does not constitute acceptance of the Supply.
4. Acceptance
- The acceptance of the Supply will be made by Jet Avionics S.r.l., which will have the right
to refuse it if it does not comply with the order requirements, or not suitable for the purpose or in the case
of faults or defects. The rejected Supply will be rejected at the risk and expense of the Supplier.
- Any non-conformity or defect of the Supply will be notified in writing to the Supplier
at the end of the acceptance process, or during the processing and / or assembly of the same Supply or during
the testing thereof (if applicable), within thirty (30) days from discovery, even if the invoice has already been paid.
- The Supplier acknowledges and accepts that the supply not accepted will be considered
as never delivered and in this case the clause 2.3 will apply.
5. Prices and Payments
- The prices indicated in the Order are considered fixed until the completion
of the Supply. Payments will be made in accordance with the provisions of the Order, provided that
- a valid invoice has been issued;
- the Supply was not rejected in accordance with the provisions of clause 4;
- Possible breaches of contract, notified by Jet Avionics S.r.l. to the Supplier in relation to one or
more existing Orders, will be entitled to Jet Avionics S.r.l. to suspend payments until the Supplier remedied them.
- The credit deriving from the Order can not be transferred or transferred to third parties.
- The Supplier cannot issue bank drafts or receipts or similar forms of payment.
6. Invoicing
- Where possible to issue a single monthly cumulative / summary invoice, except for single or sporadic purchases.
7. Intellectual Property
- Where the Supply specified in the Order must be carried out in compliance with projects,
drawings, technical specifications and any documentation (here referred to as "Data") owned by Jet Avionics Srl,
the Supplier undertakes to use the Data exclusively for the purposes set 'Order, and also not to copy them or
communicate them to third parties without the written consent of Jet Avionics Srl. Such Data must be returned to
Jet Avionics Srl as a result of fulfillment or resolution of the Order.
8. Indemnity
- In relation to activities in order, the Supplier agrees to indemnify Jet Avionics S.r.l.
from any action or claim for damages or indemnification from third parties deriving from:
- damage, loss, death or injury caused by actions, negligence or omissions on the part
of the Supplier or its subcontractors, even if not authorized;
- presumed or effective violations of patents, registered models,
trademarks or copyrights outstanding or pending at the date of the Order and relating to the Supply.
9. Warranty and Customer Support
- The Supplier guarantees that the Supply complies with the requirements established in the Order
and in the related annexes and that it is
- free from material and / or manufacturing defects;
- free from design defects;
- free from defects in the software, where applicable.
- The warranty period relating to defects referred to in points (i), (iii) is eighteen (12) months
from the delivery date of the Supply
- If said defects or malfunctions are not removed by the Supplier within thirty (30) days from the
communication of Jet Avionics S.r.l. , the latter will have the right to resolve the Order.
- Any repair of the Supply will leave the warranty period remaining at the time of notification
of the defect unchanged.
10. Compliance with the Code of Ethics
- With reference to Legislative Decree n. 231 of 8.6.2001 concerning the Administrative Responsibility
of Legal Persons, Jet Avionics S.r.l. has approved its own Organization, Management and Control Model together with the
Code of Ethics. Said Code, available on the website www.jetavionics.it, lists the principles to which Jet Avionics S.r.l.
has decided to follow. The violation of the same will allow Jet Avionics S.r.l. the resolution of the Order
11. Advertising
- The Supplier shall not advertise the Order without the prior written approval of Jet Avionics S.r.l.
12. Activities on site
- In the event that some of the activities for the execution of the Order have to be carried out at
the Jet Avionics Srl plants, the Supplier must comply with the General Business Conditions in force in Jet Avionics Srl,
which has the obligation to request before starting of these activities.
13. Assignment and subcontracting
- The Order can not be transferred by the Supplier to third parties without the prior written consent
of Jet Avionics S.r.l.
- Any subcontracting will be authorized exclusively by subcontractors previously approved by Jet Avionics S.r.l..
14. Amendments to the Order
- The Order may be amended only in writing and the Supplier must sign and send to Jet Avionics S.r.l.
the Confirmation Amendment Order.
15. Confidentiality
- All information and data contained in the Order and its attachments must be considered strictly confidential
and used for the purposes of the Order and may not be disclosed to third parties
16. Resolution and Withdrawal
- Jet Avionics S.r.l. will have the right to terminate the Order in whole or in part by written notification with
effect from the date of its receipt by the Supplier, in the following cases:
- failure to deliver the Supply on the agreed delivery dates;
- non-conformity of the Supply with the technical-qualitative requisites envisaged in the Order;
- failure to comply with the provisions of clauses 6, 8, 9, 10, 11, 12 and 14;
- violation of the applicable social security, insurance, accident prevention and environmental regulations
that could cause injury or damage to Jet Avionics S.r.l.;
- the Supplier ceases its business, as well as in the event of insolvency, bankruptcy, prior agreement
or any insolvency proceedings against it.
- In the event of termination of the Order, Jet Avionics Srl will be entitled to reimbursement of costs,
expenses and charges incurred, including those deriving from the supply of the Supply to third parties, in addition to
compensation for further damages actually suffered as a consequence of this resolution.
- At any time Jet Avionics S.r.l. may unilaterally withdraw from the Order, in whole or in part, by written
notification to the Supplier (email, PEC, registered letter AR). Upon receipt, the activity subject to withdrawal must be
immediately terminated and Jet Avionics S.r.l. will pay the Supplier an appropriate amount to cover the direct costs incurred
by the Supplier for its execution due to withdrawal. The Supplier will accept this sum with complete acknowledgment and
satisfaction of any claim arising from the withdrawal in question and will make every effort to reduce the direct costs
referred to above. For no reason the amount paid by Jet Avionics S.r.l. to the Supplier due to the withdrawal may exceed
the price that would have been paid by Jet Avionics S.r.l. if the work had been completed. Jet Avionics S.r.l. however
reserves the right to request delivery of the Supply and related documentation completed.
17. Applicable Law
- This Order is governed by Italian law. Any dispute arising in connection with or concerning the
Order will be subject to the exclusive jurisdiction of the Court of Rome
18. Requirements Product quality or service
The Supplier undertakes to guarantee the following general quality assurance requirements:
- For the duration of the Order in reference (Order) the Supplier must guarantee and maintain
an acceptable Quality System for Jet Avionics S.r.l. in relation to the specific purpose of the qualification.
The supplier must guarantee:
- To carry out the qualification of suppliers that impact the supplies of Jet Avionics S.r.l. ;
- A quality product delivered within the pre-established terms;
- Continuous monitoring in order to identify the counterfeit or suspected parts not to be approved and their segregation;
- Access to Jet Avionics S.r.l. to the Military and Civilian Surveillance Authorities to verify compliance with the requi
rements of the order and of this document and of the specific voluntary or mandatory regulations indicated on the order;
- That personnel are aware of their contribution to product conformity, product safety and ethical behavior;
- Practicing the policy of reporting to stakeholders;
- To be sure that all the requirements of this contract are subject to Government Quality Assurance.
Said activity of AQG will be eventually notified by the delegated UTT.
- The supply must be carried out in compliance with the configuration and special quality requirements indicated in the
Order, if applicable. Any variation must be previously approved in writing by Jet Avionics S.r.l.
- The goods subject to expiry must be delivered with at least 80% of residual life.
- Parts and aeronautical equipment must be accompanied by a certificate of release to service, EASA Form 1, FAA Forms 8130-3,
TCCA Form 1, Certificate of Conformity, and / or a Certificate of Calibration, as applicable according to supply. Each material sent
to Jet Avionics S.r.l. it must be preserved, packaged and shipped in accordance with the requirements of the Order or, when not specified,
according to the best commercial rules to guarantee its integrity until delivery (ATA300 and civil equivalents). The parts and / or the
individual packs and the relative Certificates of Conformity must show, when applicable: vulcanization date, lot / batch number,
serial number, assembly date and expiry date. In case of supply of alternate Part Number (P / N), it is necessary to send the documents
proving the validity of the alternation, together with the material. Without manufacturer's documentation, alternates will not be accepted.
Upon acceptance of this order, the Supplier will obligatorily notify if all or part of the supply, including technical documentation,
is subject to United States Export Control Regulations or International Traffic in Arms Regulations (ITAR) and / or Export Administration
Regulations (EAR). ). A lack of notification is to be considered as an express declaration by the Supplier that the requested material,
including the technical documentation, is not subject to ITAR and / or EAR. 8. Complete traceability of supplies must be ensured: from the
finished product to the receipt of the material / component.
- The materials supplied by "Dealers / Distributors" must be delivered with a Certificate of Conformity (if the supplier is the manufacturer) and/or a copy of the
Manufacturer's Certificate of Origin.
